This Public Offer (hereinafter — the "Offer") is a proposal by Zoomda LLC (hereinafter — the "Provider") to enter into a service agreement granting access to the Zoomda SaaS platform on the terms set out below. Full and unconditional acceptance of the Offer is effected by registering for the service and/or paying for the chosen plan.
1. Terms and Definitions
- Service / Platform — the Zoomda software suite available at zoomda.uz and related subdomains, including the web panel, API, mobile applications, and the Telegram Mini App.
- Customer — a legal entity or sole proprietor that has entered into an agreement with the Provider by accepting this Offer.
- Plan — the package of features and limits selected by the Customer and paid for the billing period.
- Billing Period — a calendar month or other period specified in the chosen plan.
- Account — the Customer's unique account in the Service, through which access is provided.
2. Subject of the Agreement
The Provider grants the Customer a non-exclusive, non-transferable right to use the Service on the terms of the chosen plan during the billing period. The Customer undertakes to pay for the services in accordance with the plan and to comply with the terms of this Offer.
The Service is provided under the SaaS ("software as a service") model: the Customer does not receive a copy of the software, but instead obtains access over the internet to an instance deployed by the Provider.
3. Acceptance Procedure
Acceptance of the Offer is recognized as any of the following actions by the Customer:
- Registering an account in the Service.
- Paying for the chosen plan in full.
- Actually using the Service (logging into the account, creating objects, submitting orders).
From the moment of acceptance, an agreement is concluded between the Customer and the Provider on the terms of this Offer, having the force of a written contract in accordance with the legislation of the Republic of Uzbekistan.
4. Terms of Use of the Service
The Customer undertakes to:
- Provide accurate registration and payment details.
- Not share account credentials with third parties and to keep them secure.
- Not use the Service for activities that violate the legislation of the Republic of Uzbekistan or the rights of third parties.
- Not take any action aimed at disrupting the Service (DoS, attempts at unauthorized access, injections, reverse engineering).
- Not use the Service for sending spam, phishing, or distributing malware.
- Comply with applicable personal data legislation with respect to end customers.
5. Pricing and Payment
The cost of services is determined by the chosen plan; current prices are published at zoomda.uz/tariffs. Payment is made in the national currency of the Republic of Uzbekistan (UZS) or another currency specified in the invoice.
- Payment is made on a prepayment basis for the chosen billing period.
- Services are deemed to have been rendered in full at the end of the paid period, provided that no written claims were submitted during that period.
- Refunds for the unused portion of a period are issued by mutual agreement of the parties in accordance with the rules of the chosen plan.
- The Provider may change pricing upon at least 30 days' notice to the Customer. Changes do not apply to periods already paid for.
6. Rights and Obligations of the Parties
The Provider undertakes to:
- Maintain Service availability at a level of 99.5% per year (excluding planned maintenance announced in advance).
- Provide technical support to the extent included in the chosen plan.
- Maintain the confidentiality of the Customer's data.
- Notify the Customer of material changes to the terms of service.
The Provider has the right to:
- Suspend access to the Service in the event of late payment or breach of the terms of this Offer.
- Engage contractors to provide technical services while remaining responsible to the Customer.
- Develop the functionality of the Service, including modifying or removing individual features, provided that this does not degrade the quality of services under the chosen plan.
7. Ownership of Data
All data uploaded by the Customer to the Service (menus, photos, texts, customer database, order history) remains the property of the Customer. The Provider uses such data solely to deliver the services and may not share it with third parties, except in cases provided for in the Privacy Policy.
The Customer may export their data at any time in Excel, CSV, or JSON formats through the Service interface. After termination of the agreement, data remains available for export for 30 days, after which it is deleted (except for information that the Provider is required to retain by law).
8. Liability of the Parties
The parties bear responsibility for non-performance or improper performance of obligations in accordance with the legislation of the Republic of Uzbekistan.
The Provider's aggregate liability on any grounds is limited to the amount of payments made by the Customer under the agreement for the last 3 (three) billing periods preceding the basis of the claim.
The Provider is not liable for lost profits, indirect damages, loss of business reputation, or for the actions of third parties (payment systems, telecommunications providers, government agencies).
9. Force Majeure
The parties are released from liability for non-performance of obligations due to force majeure circumstances: natural disasters, military actions, blockages and other decisions of government authorities, large-scale failures of internet infrastructure, epidemics, and pandemics.
A party invoking force majeure must notify the other party within 7 (seven) calendar days from the moment such circumstances arise.
10. Changes to the Terms
The Provider has the right to amend the terms of the Offer unilaterally. The current version is always available at zoomda.uz/offer. The date of the most recent change is shown at the top of the document.
Material changes take effect 14 calendar days after publication. If the Customer continues using the Service after that date, they are deemed to have accepted the changes. If the Customer does not agree, they may terminate the agreement and request a refund for the unused portion of the period.
11. Term and Termination
The agreement enters into force from the moment the Offer is accepted and remains in effect until terminated by either party.
- The Customer may terminate the agreement at any time through the Service interface or by written notice to info@zoomda.uz.
- The Provider may terminate the agreement in the event of a material breach by the Customer, with at least 7 calendar days' notice.
- Upon termination, the unused portion of the prepaid period is refunded based on the Customer's request, less the costs actually incurred by the Provider.
12. Dispute Resolution
The parties shall seek to resolve all disputes under this agreement through negotiation. The deadline for responding to a written claim is 30 calendar days from the date of receipt.
If pre-trial settlement is not possible, disputes are referred to the court at the place of the Provider's registration in accordance with the procedure established by the legislation of the Republic of Uzbekistan.
